General Terms and Conditions

1. Scope of Application

These General Terms and Conditions (GTC) apply to all contracts concluded between Foxcon GmbH (hereinafter referred to as "Contractor") and its clients (hereinafter referred to as "Client") regarding the provision of marketing and sales consulting services.

 

2. Conclusion of Contract

The contract is concluded when the Client accepts the Contractor's offer. Acceptance can be made in writing, via email, or by utilizing the services provided.

 

3. Services

The Contractor provides the services agreed upon in the contract in the field of marketing and sales consulting. The exact content and scope of the services will be specified in the respective contract.

 

4. Compensation

The compensation for the services rendered will be specified in the contract. Unless otherwise agreed, invoices are to be paid within 14 days of receipt without deduction. In the event of default in payment, the Contractor is entitled to charge default interest at a rate of 9 percentage points above the base interest rate.

 

5. Obligations of the Client

The Client agrees to provide all necessary information and documents required for the performance of the services in a timely manner. The Client is responsible for the accuracy and completeness of the information provided.

 

6. Liability

The Contractor is liable for damages caused by intentional or grossly negligent conduct. For slight negligence, the Contractor is only liable for breaches of essential contractual obligations (cardinal obligations). Liability is limited to the typically foreseeable damage.

 

7. Confidentiality

Both parties agree to treat all information exchanged during the collaboration as confidential and not to disclose it to third parties unless there is explicit consent from the other party.

 

8. Data Protection

The Contractor commits to comply with applicable data protection laws. The personal data of the Client will only be processed within the scope of contract execution.

 

9. Final Provisions

Changes and additions to these GTC must be made in writing. Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected. The law of [Country, e.g., Germany] applies.

 

10. Jurisdiction

The place of jurisdiction for all disputes arising from the contractual relationship is Herisau, Switzerland.
